Kulture Scientific sells primarily to businesses, research institutions, universities, and other professional organizations ("B2B customers"). By placing an order, you represent that:

• You have a legitimate scientific, research, or manufacturing purpose for the products you are purchasing
• You will use products only for lawful purposes consistent with all applicable federal, state, and local laws and regulations

Kulture Scientific reserves the right to refuse service to any individual or entity at our sole discretion.

By purchasing any product from Kulture Scientific, you acknowledge and agree that:

• Products are sold for research, laboratory, and further manufacturing purposes only
• Products are not approved, cleared, or intended for human or veterinary diagnostic or therapeutic use
• You are solely responsible for determining the suitability of any product for your specific application
• You will comply with all applicable laws, regulations, and institutional guidelines governing the use, storage, handling, and disposal of purchased products
• Kulture Scientific makes no representation that any product is suitable for any particular application beyond its labeled intended use

Product descriptions, specifications, and technical information on our Site are provided for informational purposes only. While we strive for accuracy, Kulture Scientific does not warrant that product descriptions or other Site content is accurate, complete, current, or error-free.

Submitting an order through our Site constitutes an offer to purchase products subject to these Terms. All orders are subject to acceptance by Kulture Scientific. We reserve the right to refuse or cancel any order at any time for any reason, including but not limited to:

Order confirmation via email does not constitute final acceptance. All prices listed on the Site are in U.S. dollars and are subject to change without notice. Prices do not include applicable taxes or shipping charges, which will be calculated and displayed at checkout.

• Taxes — applicable sales tax will be collected where required by law. Tax-exempt customers must provide valid exemption documentation prior to order placement.
• Payment — payment is due at the time of order. We accept major credit cards and other payment methods as listed at checkout. All transactions are processed securely.
• Pricing errors — in the event of a pricing error on the Site, Kulture Scientific reserves the right to cancel the order and issue a full refund, or to contact you with the corrected price and allow you to confirm or cancel your order.
• Quotes — written price quotes are valid for 30 days from the date of issuance unless otherwise stated.

Orders are fulfilled and shipped by Kulture Scientific or directly by our suppliers on our behalf. We use third-party carriers for all shipments. Estimated delivery times are provided as a courtesy and are not guaranteed.

• Risk of loss — title and risk of loss for products pass to the customer upon delivery to the carrier. Kulture Scientific is not responsible for delays, damage, or loss occurring after handoff to the carrier.
• Cold chain products — cell culture media and temperature-sensitive products are shipped with appropriate cold packs or refrigerants. Kulture Scientific is not liable for temperature excursions caused by carrier delays, failed delivery attempts, or improper handling by the carrier after pickup.
• Shipping address — you are responsible for providing a complete and accurate shipping address. Kulture Scientific is not liable for delays or non-delivery resulting from an incorrect address provided at checkout.
• Delivery issues — if a shipment is lost, significantly delayed, or arrives visibly damaged, contact us within 5 business days of the expected delivery date at info@kulturesci.com.

Returns and refunds are governed by our Return & Refund Policy, which is incorporated into these Terms by reference. Key points are summarized below:

• Non-returnable items — cell culture media, sera, serum products, opened consumables, and special-order items are non-returnable. All sales on these items are final.
• Eligible returns — unopened standard consumables may be returned within 30 days of delivery, subject to a 15% restocking fee. Damaged, defective, or incorrectly shipped items must be reported within 5 business days of delivery.
• RMA required — all returns require a Return Merchandise Authorization (RMA) number issued by Kulture Scientific prior to shipment. Returns received without an RMA will be refused.
